Welcome to Just A Baby. These Terms of Service (“Terms”) govern your access to and use of the Just A Baby mobile application, website, and services (collectively, the “Service”). Please read these Terms carefully as they contain important information regarding your legal rights, remedies, and obligations.

By accessing or using the Just A Baby Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms or our Privacy Policy, you may not access or use the Service.

IMPORTANT NOTICE REGARDING DATA COLLECTION AND THIRD-PARTY SERVICES

PLEASE READ THIS SECTION CAREFULLY: Just A Baby utilizes third-party services, including Twilio, Inc. d/b/a Twilio Segment (“Segment”), to collect, process, and analyze user data. By using our Service, you acknowledge and consent to the following:

We partner with Twilio Segment and other third-party services that may collect and process your data, including personal information and communications you share through the app.
These third-party services may collect data including, but not limited to:
- Personal identifiers (name, email address, phone number, IP address)
- Device information and identifiers
- User-generated content and communications
- Profile information including reproductive health information (such as fertility status, family planning timeline, relationship status)
- App usage data and interactions
We use this data for purposes including:
- Providing and improving our Service
- Personalizing your experience
- Analytics and performance monitoring
- Marketing and advertising
- Facilitating connections between users
Third parties may receive data through APIs, SDKs, and other integration technologies embedded in our application.

If you do not consent to this data collection and sharing, you should not use the Service.

CALIFORNIA PRIVACY RIGHTS NOTICE

If you are a California resident, California law provides you with specific rights regarding your personal information, including rights under the California Invasion of Privacy Act (CIPA) and the California Confidentiality of Medical Information Act (CMIA).

ACCOUNT REGISTRATION

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account and password
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

COMMUNITY STANDARDS AND PROHIBITED CONDUCT

CONVERSATION AROUND CONCEPTION CHOICES

Our platform is designed to facilitate connections for various family formation paths. All users must respect others’ choices regarding conception, surrogacy, donation, or co-parenting arrangements. Judgment, criticism, or harassment regarding these choices is strictly prohibited.

COERCION

Any form of coercion, manipulation, or pressure tactics is strictly prohibited. All arrangements and agreements between users must be entered into freely and with informed consent. Any reported coercive behavior will result in immediate account termination.

APP HOPPING

To maintain the security and integrity of our community, we discourage “app hopping”, creating multiple accounts or using multiple fertility/family formation apps simultaneously to misrepresent yourself or your intentions. Users found engaging in deceptive practices across platforms may have their accounts terminated.

NO VPNS

The use of Virtual Private Networks (VPNs) or other methods to disguise your location or identity is prohibited. We require accurate location information to facilitate appropriate matches and ensure compliance with regional laws.

OTHER CHAT APPS

While we understand users may eventually move communications to other platforms, we strongly recommend keeping initial conversations within our app for safety and record-keeping. Just A Baby cannot protect users or verify communications that occur outside our platform.

DISCRIMINATION

Discrimination based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic is strictly prohibited. Our platform is inclusive and welcomes all individuals seeking to create families regardless of background.

NUDITY

Explicit nudity in profile photos or in communications is strictly prohibited. Profile images should be appropriate and respectful. Sharing of explicit images may result in immediate account termination and possible reporting to authorities.

CATFISHING

Misrepresenting your identity, using someone else’s photos, or creating fictional personas (“catfishing”) is strictly prohibited. All users must represent themselves honestly and accurately.

CRIMINAL BACKGROUNDS

Users with certain criminal backgrounds, especially those involving violence, sexual offenses, or fraud, are prohibited from using our platform. We reserve the right to conduct background checks and remove users with concerning criminal histories.

CREEPY SEXUAL MESSAGES

Our platform is for family formation, not dating or sexual connections. Sexually explicit, inappropriate, or harassing messages are strictly prohibited and will result in account termination.

DISCUSSION RE: DECLINING FERTILITY OR PROBLEMS

While discussing fertility challenges is appropriate, making unsolicited comments about another user’s fertility, age-related fertility decline, or reproductive issues is inappropriate and may constitute harassment.

HEATED RESPONSES

We understand that family formation is an emotional topic, but hostile, aggressive, or threatening communications are prohibited. All users must communicate respectfully, even during disagreements.

USER CONTENT AND CONDUCT

You are solely responsible for all content you post, upload, or transmit through the Service (“User Content”). By submitting User Content, you grant Just A Baby a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the Service.

You agree not to:

Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Impersonate any person or entity
Use the Service for any illegal purpose
Interfere with or disrupt the Service or servers
Collect or store personal data about other users without their consent
Attempt to gain unauthorized access to the Service
Use the Service for commercial purposes without our prior written consent
Engage in any of the prohibited behaviors described in the Community Standards section

DATA COLLECTION AND PRIVACY

Types of Data Collected

We collect various types of data when you use our Service, including:

Account Information: Name, email address, phone number, date of birth
Profile Information: Photos, personal descriptions, preferences regarding surrogacy, donation, or co-parenting
Reproductive and Family Planning Information: Information about your fertility status, reproductive goals, timeline for having children, and parenting preferences
Communications: Messages exchanged with other users and communications with Just A Baby
Usage Information: How you interact with the app, features you use, time spent on various screens
Device Information: Device type, operating system, unique device identifiers, IP address

How We Use Data

Connecting you with potential matches
Personalizing your experience
Communicating with you about the Service
Analyzing usage patterns to improve the app

Twilio Segment: Collects and processes user data for analytics, tracks user behavior within the app, and can access profile information and communication metadata

By using our Service, you expressly consent to:

The collection of personal information, including reproductive health information and family planning preferences
The processing of this information by Just A Baby and our third-party service providers
The use of your information to introduce you to other members, who match with each other and decide between themselves what comes next
The monitoring, collection, and analysis of your app usage by analytics tools, including Twilio Segment
The use of your data for service improvement, marketing, and advertising purposes

If you wish to withdraw consent for any of these uses, please contact us at privacy@justababy.com. Note that withdrawing consent for certain uses may impact our ability to provide the Service.

TERMINATION

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Just A Baby does not guarantee the accuracy, completeness, or usefulness of any information on the Service or the success of any matches. We are not responsible for any outcomes resulting from connections made through our Service.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUST A BABY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Just A Baby and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

GOVERNING LAW

These Terms shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles. Any legal action or proceeding relating to your access to or use of the Service shall be instituted in a federal or state court in Delaware, and you agree to submit to the personal jurisdiction of such courts.

ARBITRATION AGREEMENT

Except for claims involving intellectual property, obligations to pay amounts owed, or actions to enforce these Terms, any dispute arising from or relating to these Terms or the Service shall be finally settled by binding arbitration. The arbitration will be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

You and Just A Baby agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Just A Baby waive any right to a jury trial.

CHANGES TO TERMS

We may modify these Terms at any time by posting the revised Terms on our website or in the app. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT UNDERSTAND OR DO NOT AGREE TO BE BOUND BY THESE TERMS OF SERVICE, YOU MUST IMMEDIATELY CEASE USING THE SERVICE.

End User License Agreement

Just a Baby

***END USER LICENSE AGREEMENT***

IMPORTANT: PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THIS SOFTWARE.

1. LICENSE

By receiving, opening the file package, and/or using Just a Baby Version 20.19.1 (“Software”) containing this software, you agree that this End User User License Agreement(EULA) is a legally binding and valid contract and agree to be bound by it. You agree to abide by the intellectual property laws and all of the terms and conditions of this Agreement.

Unless you have a different license agreement signed by Just a Baby your use of Just a Baby Version 20.19.1 indicates your acceptance of this license agreement and warranty.

Subject to the terms of this Agreement, Just a Baby grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use Just a Baby Version 20.19.1 in accordance with this Agreement and any other written agreement with Just a Baby. Just a Baby does not transfer the title of Just a Baby Version 20.19.1 to you; the license granted to you is not a sale. This agreement is a binding legal agreement between Just a Baby and the purchasers or users of Just a Baby Version 20.19.1 .

If you do not agree to be bound by this agreement, remove Just a Baby Version 20.19.1 } from your computer now and, if applicable, promptly return to Just a Baby by mail any copies of Just a Baby Version 20.19.1 and related documentation and packaging in your possession.

2. DISTRIBUTION

Just a Baby Version 20.19.1 and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that you may make one copy for archive purposes only. For information about redistribution of Just a Baby Version 20.19.1 contact Just a Baby.

3. USER AGREEMENT

3.1 Use

Your license to use Just a Baby Version 20.19.1 is limited to the number of licenses purchased by you. You shall not allow others to use, copy or evaluate copies of Just a Baby Version 20.19.1 .

3.2 Use Restrictions

You shall use Just a Baby Version 20.19.1 in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, use, display or distribution of Just a Baby Version 20.19.1 together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited.

Just a baby does not tolerate objectionable contents and/or abusive users.

Each licensed copy of Just a Baby Version 20.19.1 may be used on one single computer location by one user. Use of Just a Baby Version 20.19.1 means that you have loaded, installed, or run Just a Baby Version 20.19.1 on a computer or similar device. If you install Just a Baby Version 20.19.1 onto a multi-user platform, server or network, each and every individual user of Just a Baby Version 20.19.1 must be licensed separately.

You may make one copy of Just a Baby Version 20.19.1 for backup purposes, providing you only have one copy installed on one computer being used by one person. Other users may not use your copy of Just a Baby Version 20.19.1 . The assignment, sublicense, networking, sale, or distribution of copies of Just a Baby Version 20.19.1 are strictly forbidden without the prior written consent of Just a Baby. It is a violation of this agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the use of Just a Baby Version 20.19.1 . If any person other than yourself uses Just a Baby Version 20.19.1 registered in your name, regardless of whether it is at the same time or different times, then this agreement is being violated and you are responsible for that violation!

3.3 Copyright Restriction

This Software contains copyrighted material, trade secrets and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile Just a Baby Version 20.19.1 . Nor can you create any derivative works or other works that are based upon or derived from Just a Baby Version 20.19.1 in whole or in part.

Just a Baby’s name, logo and graphics file that represents Just a Baby Version 20.19.1 shall not be used in any way to promote products developed with Just a Baby Version 20.19.1 . Just a Baby retains sole and exclusive ownership of all right, title and interest in and to Just a Baby Version 20.19.1 and all Intellectual Property rights relating thereto.

Copyright law and international copyright treaty provisions protect all parts of Just a Baby Version 20.19.1 , products and services. No program, code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of the single user program. All rights not expressly granted hereunder are reserved for Just a Baby.

3.4 Limitation of Responsibility

You will indemnify, hold harmless, and defend Just a Baby , its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of Just a Baby’s Software.

In no event (including, without limitation, in the event of negligence) will Just a Baby , its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss),in connection with or arising out of or related to this Agreement, Just a Baby Version 20.19.1 or the use or inability to use Just a Baby Version 20.19.1 or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

Just a Baby’s entire liability, without exception, is limited to the customers’ reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by Just a Baby ) in exchange for the return of the product, all copies, registration papers and manuals, and all materials that constitute a transfer of license from the customer back to Just a Baby.

3.5 Warranties

Except as expressly stated in writing, Just a Baby makes no representation or warranties in respect of this Software and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.

3.6 Governing Law

This Agreement shall be governed by the law of the Australia applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of Australia therefrom. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.

3.7 Termination

Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of Just a Baby Version 20.19.1 and destroy all copies of Just a Baby Version 20.19.1 supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license.

4. DISCLAIMER OF WARRANTY

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD “AS IS” AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY Just a Baby Version 20.19.1 AS WELL.

You agree that Just a Baby may collect and use information gathered in any manner as part of the product support services provided to you, if any, related to Just a Baby Version 20.19.1 .Just a Baby may also use this information to provide notices to you which may be of use or interest to you.
